The biggest risk in business isn’t making a change.

We recently spoke about why Cyprus is worth considering as a jurisdiction. Today we want to go one level deeper: what does "correctly structured" actually mean in practice?
A Cyprus company that exists only on paper with no real activity, no substance, no governance is a liability, not an asset. Tax authorities across Europe know what that looks like, and so do banks.
A structure designed to support long-term business operations should be built around four key considerations:
1. Substance
Does your company have a genuine presence in Cyprus? This may include appropriate premises, personnel, operational functions, banking arrangements, and effective management and decision-making in Cyprus, depending on the circumstances of the business.
2. Commercial justification
Is there a genuine business rationale for establishing and operating the structure in Cyprus? A properly established structure should reflect the commercial activities, operational needs, and strategic objectives of the business.
3. Compliance from day one
Has the company properly addressed its legal, tax, accounting, and regulatory obligations? This may include VAT registration where applicable, beneficial ownership reporting, maintenance of accounting records, preparation and filing of financial statements and annual returns, tax filings, and corporate secretarial obligations.
These are not simply administrative formalities. They are fundamental elements of maintaining a properly governed and compliant company.
4. Ongoing governance
A company isn't a one-time setup. Board meetings and resolutions, statutory records, regulatory filings, accounting and tax obligations, and periodic reviews of the company's activities and structure should be properly managed as the business develops.
This is the difference between incorporating in Cyprus and actually operating a Cyprus company.
If your existing structure was established some time ago, has not recently been reviewed, or no longer reflects the way your business operates, it may be appropriate to reassess whether the structure remains aligned with your activities, obligations, and long-term objectives.

Cyprus is often recognised for its corporate tax framework, but that's only part of the picture.
Businesses considering Cyprus should evaluate the jurisdiction as a whole.
Among its key features are:
• A corporate income tax rate of 15%.
• An established Intellectual Property (IP) regime, under which qualifying IP income may, in certain circumstances, benefit from an effective tax rate of approximately 3%, subject to applicable legislation, eligibility and substance requirements.
• A withholding tax framework that may provide exemptions on certain outbound dividend, interest and royalty payments, depending on the circumstances and applicable legislation.
• An extensive network of double tax treaties supporting international business activities.
