2024 new China Company Law on LLC organizational structure
Article 83 of 2024 New China Company Law stipulates that if a LLC is small or the number of shareholders is small, the LLC may not have supervisor with the consent of all shareholders.
And, article 69 of the new Company Law stipulates that a LLC may set up an Audit Committee inside the Board of Directors in accordance with the provisions of the Articles of Association to exercise the powers of the Board of Supervisors.

What Main Documents Needed And Prepared For Foreign Investor To Register A Limited Company In China?
1. At Least One Investor That Is Legal Person Or Natural Person, And Provide Legalized Copy Of Certificate Of Incorporation Or Passport Respectively.
If Investor Is A Natural Person And In China, Then Just Provide The Original Passport For Company Registration Official To Confirm It.
From November 7, 2023, Hague Apostille Convention Is Entered Into Force To China, Then The Investors Of The Contracting Party Of Hague Apostille Convention Just Need To Get The Copy Apostilled, No Need Chinese Embassy To Legalize It Anymore.
2. Registered Capital
Except Some Conditional Business, China Company Law Does Not Set Minimum Capital. However, Suggest The Registered Capital At Least Is CNY100,000 (Around USD14,000). Please Noted The Capital Shall Be Injected Within 5 Years After Company Incorporation Based On New Company Law Which Will Be Effected On July 1, 2024.
